These Terms of Service ("Terms") govern your use of Umbra Budget software and related services provided by CorpoCorpo LLC ("Company," "we," "us," or "our"). By using Umbra Budget, you agree to these Terms.
1. Acceptance of Terms
By downloading, installing, or using Umbra Budget, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the software. We may update these Terms from time to time, and your continued use constitutes acceptance of any changes.
2. License Grant
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use Umbra Budget for personal, non-commercial purposes.
Umbra Budget Pro
Umbra Budget Pro is sold as a one-time purchase. Upon purchase, you receive a perpetual license to use the version of the software you purchased, plus any updates we choose to provide. This license is:
- For personal use on devices you own or control
- Non-transferable (you may not sell, give away, or share your license)
- Subject to these Terms of Service
3. Restrictions
You agree not to:
- Copy, modify, or distribute the software except as expressly permitted
- Reverse engineer, decompile, or disassemble the software
- Remove or alter any proprietary notices or labels
- Use the software for any unlawful purpose
- Share, sell, rent, lease, or sublicense your license to others
- Use the software to develop competing products
- Circumvent any technical limitations or access controls
4. Your Data and Privacy
Umbra Budget stores all your financial data locally on your device. We do not collect, access, or store your financial information. You are solely responsible for:
- Backing up your data
- Securing your device and the data stored on it
- Any data loss resulting from device failure, software issues, or other causes

5. Payments and Refunds
Pricing
Umbra Budget Pro is available for a one-time payment of $29 USD (or equivalent in your local currency). Prices may change, but any price changes will not affect purchases already completed.
Refund Policy
We offer a 3-day money-back guarantee. If you are not satisfied with Umbra Budget Pro for any reason, contact us within 3 days of purchase for a full refund. After 3 days, refunds are provided at our sole discretion.
Payment Processing
Payments are processed by third-party payment processors. By making a purchase, you agree to their terms of service. We do not store your complete payment information.
6. Updates and Support
We may release updates to Umbra Budget from time to time. While we strive to provide ongoing improvements, we are not obligated to provide any specific updates, new features, or continued development.
Support is provided on a reasonable-efforts basis. We aim to respond to support inquiries but do not guarantee response times or resolution of all issues.
7. Intellectual Property
Umbra Budget, including its code, design, graphics, and documentation, is owned by CorpoCorpo LLC and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.
8. Disclaimer of Warranties
UMBRA BUDGET IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the software will be error-free, uninterrupted, or free of harmful components. We do not warrant that the software will meet your requirements or that any errors will be corrected.
Umbra Budget is not a substitute for professional financial advice. The software is a tool to help you track and manage your personal finances. We do not provide financial, investment, tax, or legal advice. Consult qualified professionals for such matters.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORPOCORPO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, or business opportunities
- Financial losses or damages resulting from use of the software
- Damages arising from data loss or corruption
- Damages arising from unauthorized access to your device
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless CorpoCorpo LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of Umbra Budget or violation of these Terms.
11. Termination
These Terms remain in effect until terminated. You may terminate by uninstalling Umbra Budget and ceasing all use. We may terminate or suspend your license if you violate these Terms.
Upon termination, your license to use the software ends, but provisions that by their nature should survive (such as limitations of liability and indemnification) will continue in effect.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CorpoCorpo LLC regarding Umbra Budget and supersede any prior agreements or understandings.
